General Terms and Conditions of Sale

and use of our services

These conditions govern the sale of any service presented under the brand name aporo sport represented by Lois Chambras, sole proprietor, residing at 3 rue du Boële, 41360 Lunay - Registered with the Chamber of Trades and Crafts of Loir et Cher, SIREN 948 425 491.

Any order duly validated implies full and unreserved acceptance of these general terms and conditions of sale and, where applicable, of the particular or specific conditions relating to one or more products or services.

The client

For practical reasons, a client is any organization that uses Aporo Sport for the production of its products or the provision of a service: company, sports club, association, etc.

1. Purpose

These conditions aim to define the reciprocal obligations of the parties and the different stages of the ordering process.

2. Articles, products and services

aporo sport is a registered trademark of Lois and Nicolas Chambras, whose purpose is to offer for sale:

graphic design services for logo and brand image design or modernization, or visual production for print or digital media.
the design of clothing and accessories related to sports,
a bespoke decoration service and manufacturing of personalized sports balls.

The services or products offered for sale are described and presented as accurately as possible. However, if any errors or omissions have occurred in this presentation, Aporo Sport cannot be held liable.

The photographs illustrating the services in support of the text are not part of the contractual agreement.

3. Principle for decorating balloons

Eight original designs are available, including two specifically for youth rugby teams, with the option to customize them with the club or sports association's colors. These designs come in the following options:

3.1 FORMULA 2 x 2:

Pre-existing Aporo decor with two panels reserved for Aporo and club customization on two panels.
The balloon's decoration is customized to the client's required colors, and two panels are reserved for them.
The client uses the same element on both of their panels.
The number of colors is limited to two colors black (black can be changed to a 3rd color if necessary).
The colors of the distinctive Aporo elements can be adapted to the client's colors.

3.2 FORMULA 1 x 2 x 1:

Pre-existing Aporo decor with a panel reserved for Aporo and customer personalization on three panels.
The balloon's decoration is customized to the client's required colors, and three panels are reserved for them.
The client uses the same element on two panels and can use a different element on the third (either two identical client panels 1 different panel, or 1 client panel 2 identical panels).
The number of colors is limited to two colors black (black can be changed to a 3rd color if necessary).
The colors of the distinctive Aporo elements can be adapted to the client's colors.

3.3 FORMULA 1 x 3:

Pre-existing Aporo decor with a panel reserved for Aporo and customer personalization on three panels.
The balloon's decoration is customized to the client's required colors, and three panels are reserved for them.
The client uses different elements on the three panels,
The number of colors is limited to two colors black (black can be changed to a 3rd color if necessary).
The colors of the distinctive Aporo elements can be adapted to the client's colors.

3.4 FORMULA 0x4:

Pre-existing aporo decor without aporo panel and 4 panels reserved for the client.
The ball's design is customized to the club's required colors, and the four panels are reserved for it.
the client uses different elements on the panels;
The website address for Aporo is displayed on two signs (inflation indicator signs).

BESPOKE: The client wants a unique, custom-made decor that differs from the pre-existing Aporo decors.

We can handle the creation (up to two proposals) and the technical execution of the set design. The client must provide us with a detailed brief or discuss it with us. There are no additional costs associated with the creation process, regardless of the chosen option.
The client has a service provider to create their set design; we provide the technical specifications to be followed for the creation and production of the execution documents to be submitted to us. The quote will be based on the provided design; any intervention on our part due to a misinterpretation of the specifications will be billed to the client.

COLORS

Aporo's prices for custom balloons are given for two colors, black is offered and serves as a third color; it can be changed to another color if necessary.
It is possible to work with more colours and each partner has the right to want to use their own colours.
Additional charges will apply for orders exceeding 3 colors.
The client must ensure that their partners agree to work only with the club's colors or black if they want to avoid production costs related to additional colors.
As the final proof is authoritative, aporo sport cannot be held responsible if partners were to make a complaint regarding the absence of their colours on the finished product.

4. Principles for the design of sports kits and sportswear

We can present the client with a range of pre-existing jersey and shorts designs or textiles that can be customized.
We can work on the basis of creating a personalized decor according to a brief given by the client (up to a maximum of two projects for the same brief).

The client has a supplier for the production of the outfits; they must provide us with specifications and technical drawings so that we can produce the production documents.
The client does not have a service provider; we put them in touch with a specialist provider with whom we regularly work.

5. Principles for creating or modernizing a logo and brand image

We can offer the modernization or creation of a permanent or event-based logo (up to a maximum of two projects for the same brief) at the client's request, based on a precise brief and a preliminary interview.
Since each project is unique and may involve a varying number of variations, we will prepare a quote based on the information gathered and the needs identified during our initial consultation. Any additional variations not included in the initial quote will be subject to an addendum.
The time spent on the initial exchange to establish needs and directions to follow is not billed.

6. Price of products and services, delivery

Prices are presented in euros and are precisely defined by quote.
Since each project is unique, we calculate our prices as accurately as possible based on the information provided to us.
Regarding the prices given for the creation or modernization of a logo or brand image, they include the transfer of copyright to the client for the selected project (unselected projects or versions remain the property of Aporo Sport, which is free to offer them to a third party) and exclude author's corrections*.*An author's correction is a significant change resulting in a partial or complete redesign of the project, occurring during the technical implementation phase, once the creative project has been approved.
As of the date of this update to the Terms and Conditions, VAT is not applicable to the services offered. Should changes in the business necessitate the application of VAT, it will be French VAT at the rate in effect for the products and services concerned, and the customer will be informed beforehand. Should the VAT rate change, these changes may be reflected in the price of the items without prior notice to the customer.
Delivery takes place within 6 to 14 weeks from the signing of the proof and receipt of full payment for the order; however, any unforeseen event or force majeure which delays delivery independently of the will and diligence of aporo sport cannot be held against it.

The prices shown are for the finished product and do not include delivery charges.

Products can be collected by appointment, 7 days a week at 3 rue du Boële - 41360 Lunay
Products can be delivered to an address specified during the ordering process. As the number of packages and their weight vary, an addendum to the quote will be provided to the customer to confirm the delivery cost. This addendum must be approved by the customer, and full payment will trigger delivery.

7. Order

A customer interested in an Aporo Sport product or service follows the following process to place their order.

He informs us of his needs via the website aporosport.fr or by email to bonjour@aporosport.fr, or aporosport@gmail.com or during an appointment made by telephone: +33 608 337 187.
After receiving the quote that meets the requested criteria and after verifying the specifics of his order (color, quantity, price, etc.), the customer validates his choice of the selected product(s) by establishing an order form that includes all the characteristics of his order or by validating the quote “approved” dated and signed.
He must then provide his contact details with the following mandatory information: title, surname, first name, full delivery address, email and telephone number.
An invoice will then be presented to him for payment upon receipt.

8. Payment terms

As each balloon produced is unique due to its connection to a specific project, payment terms are as follows: 100% upon ordering. Full payment and signature of the proof confirm the order and delivery.
For textiles: 50% upon quote approval and 50% upon signature of the proof before sending production files to the client or supplier. Full payment and signature of the proof confirm the order and delivery.
For the creation or modernization of brand image or any other graphic element (print, textile, or web): 50% upon approval of the quote and 50% before sending the source and working files to the client or their suppliers. Payment of the deposit authorizes the start of work; full payment of the balance and approval of the proof confirm the order and delivery.

9. Payment terms

The customer may pay by bank transfer to the account indicated on the invoice. The order is only definitively and irrevocably effective once the full invoice amount has been credited to the bank account specified on the invoice. This confirmation constitutes a sale and irrevocably binds both parties.

aporo sport will acknowledge receipt of the order upon validation by email or by any other means at its convenience.

10. Return of merchandise

The customer can cancel their order before confirming it by paying the invoice.
Once the order has been placed and payment confirmation received, as we are dealing with custom-made products, they cannot be returned, exchanged, or refunded.

11. Intellectual Property and Competition

All elements of the Aporo Sport website and graphic designs created within the scope of its activities, whether visual or audio, including the underlying technology, are protected by copyright, trademarks, or patents. They are the exclusive property of Lois and Nicolas Chambras or the service providers associated with the website's hosting and engineering technology.
Users who have a personal website and wish to place, for personal use, a simple link on their site that redirects directly to the aporo sport website, must first request authorization from aporo sport.
The visuals generated during the creation process are the property of aporosport; their use must be subject to a request for authorization for any medium whatsoever, paper, multimedia or any current and future technology.
Only custom graphic designs approved by the final proof will have their copyright transferred to the client, if desired. All unapproved sketches, research, tests, and proposals remain the sole property of aporosport.
Pre-existing Aporo designs that are customized by simply changing the colors, symbols, and logos belonging to the client cannot, under any circumstances, be subject to exclusive use or transfer of copyright. They are and remain the sole property of Lois and Nicolas Chambras.
The client is fully responsible for the content provided for placement on their chosen medium. They must ensure the legality of its use and must have fulfilled all obligations relating to image rights, copyrights, etc.
The seller undertakes to respect the confidentiality rules relating to the documents, information and images made available to him by the client for the execution of the work and guarantees their non-disclosure to third parties, including within his company / organization, unless otherwise instructed by him in writing.
